Terms of Service

These Terms of Service (“Terms”) govern your use of INGRID, an AI-powered customer support platform operated by INGRID SRL (“we”, “our”, “us”). By creating an account or using our services, you agree to these Terms.

1. Service Description

INGRID provides an AI-powered customer support chatbot that can be embedded on your website. The service includes automated customer responses, Shopify integration for order tracking and product information, WhatsApp escalation, conversation analytics, and customer memory features. The AI responses are generated using third-party language models and are based on your website content and business configuration.

2. Acceptable Use

You agree not to:

  • Use INGRID to facilitate illegal activities or distribute harmful content
  • Attempt to reverse-engineer, decompile, or extract the AI models or proprietary algorithms
  • Use the service to send spam, phishing messages, or unsolicited communications
  • Exceed the usage limits of your plan through automated means or abuse
  • Misrepresent the AI assistant as a human agent to end customers
  • Upload malicious content, scripts, or data designed to exploit the platform

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate information when creating an account and keep it up to date. You are responsible for the content you upload, including website data used for AI training and FAQ responses. You must ensure you have the right to use any Shopify store data you connect to INGRID.

4. Payment Terms & Refund Policy

Paid plans (Starter, Growth, Pro) are billed monthly via Stripe. Prices are displayed in USD. Your subscription renews automatically each billing cycle unless cancelled. You may cancel at any time from the billing page — cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time within a billing period. If you believe you were charged in error, contact us within 14 days at support@chatingrid.com.

5. Service Availability & SLA

We strive to maintain 99.9% uptime for the INGRID service. However, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be announced in advance when possible. We are not liable for downtime caused by third-party services (Supabase, Vercel, Stripe, Shopify, Twilio, xAI), force majeure events, or actions outside our reasonable control. AI-generated responses may occasionally be inaccurate — merchants are responsible for monitoring conversation quality.

6. Intellectual Property

The INGRID platform, including its software, design, branding, and documentation, is the intellectual property of INGRID SRL. You retain ownership of your business data, website content, and customer conversations. By using INGRID, you grant us a limited license to process your data solely for the purpose of providing the service. We do not claim ownership of AI-generated responses delivered to your customers.

7. Data Handling

Your data is handled in accordance with our Privacy Policy. We process customer conversations using third-party AI providers (xAI/Grok). Conversation data is stored securely and is accessible only to you and authorized INGRID personnel. You are responsible for complying with applicable data protection laws (including GDPR) in relation to your end customers. We provide tools for data deletion and export to support your compliance obligations.

8. Termination

You may terminate your account at any time by cancelling your subscription and contacting support. We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, fail to pay subscription fees, or if required by law. Upon termination, your data will be retained for 30 days to allow for export, after which it will be permanently deleted.

9. Limitation of Liability

To the maximum extent permitted by law, INGRID SRL shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. This includes but is not limited to: loss of profits, data, business opportunities, or goodwill. Our total liability for any claim related to the service shall not exceed the amount you paid us in the 12 months preceding the claim. AI-generated responses are provided “as is” without warranty of accuracy — we are not liable for actions taken based on AI responses.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Romania. The courts of Romania shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms.

11. Dispute Resolution

In the event of a dispute, we encourage you to first contact us at support@chatingrid.com to seek an amicable resolution. If the dispute cannot be resolved within 30 days, either party may initiate proceedings in the competent courts of Romania.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to your registered address at least 14 days before they take effect. Continued use of INGRID after changes become effective constitutes acceptance of the revised Terms. If you disagree with changes, you may cancel your subscription before they take effect.
